Membership Agreement

In order to give back to the customers who have been supporting us for a long time, Unicoeye has launched a special membership program to thank customers for choosing us!

Thank you for reviewing the terms ("Terms" or "Rules") for the VIP Program (the "Program"). These Terms are between You and UNICOEYE Products, Inc. and/or its affiliates ("Us" or “We”) and govern our respective rights and obligations. Your participation in the Program is subject to our Terms of Use and Privacy Policy, as well as all other applicable terms, conditions, limitations, and requirements. The Terms, together with applicable terms related to any promotional offers provided to you for use with the Program, constitute the entire agreement between You and Us related to the Program. By enrolling, and continuing to use the Program, you accept these terms, conditions, limitations and requirements. We may make changes to these Terms or terminate the Program. If we make material changes or terminate the Program, we will notify you by e-mail and/or post the new terms at https://www.unicoeye.com/.

Subject to these terms and conditions, VIP Club members (“Members” or “You”) will earn VIP Rewards Points (“Points”) in connection with the purchase of qualifying products at https://www.unicoeye.com/ and may be awarded points.

I. MEMBERSHIP

Free Membership.

No purchase is necessary to earn Points in the VIP Program. To earn Points, simply create an account.

Eligibility.

You must be an individual age 13 years or older and a resident of the United States to be eligible for membership. Membership in the Program is limited to individuals only and is limited to one account per individual. Persons under the age of 18 ("Minors") must obtain their parent’s or legal guardian’s consent prior to participation. By joining the VIP Club, you agree (or, if you are a Minor, your parent or legal guardian agrees) to be bound by these terms and conditions.

Create Account.

You may apply to become a member of the VIP Club by visiting https://www.unicoeye.com/ (the "Website").

Account Maintenance.

Once you are a VIP Club member, you may view a summary of your Account on the Website. After logging onto the Website, simply click log in on the VIP page to view your VIP Rewards Points balance, transaction history, eligibility for bonus offers, and to revise any information on your account.

Member Cancellation.

You may cancel your VIP Club membership at any time. Upon cancellation, any unused Points accrued in your account will be forfeited and cannot be redeemed.

II. EARNING POINTS

1. General.

Members can earn VIP Points on the purchase of qualifying products at https://www.unicoeye.com/. To earn Points, you must be a VIP Club Member. You must be signed into your VIP Club account to receive Points for any purchase.

2. Earning Points.

VIP Members earn one (1) point for every $1 spent on unicoeye.com.

You may start redeeming anytime. Points cannot be shared with any other VIP Club member.

3. Earn Additional Points:

10 points when you sign up (one-time only)

10 points when you FOLLOW us on Instagram (one-time only)

10 points when you FOLLOW us on Facebook (one-time only)

10 points when you Fill in the phone number (one-time only)

10 points when you Fill in your birthday (one-time only)

Share our site to FB through the membership system（You can share once a day and get 2 points at a time）

4. Timing of the Addition of Points to Accounts.

VIP Points earned from the purchase of qualifying products will be credited within 72 hours after shipping. The timing for issuing Points is subject to change.

5. Returns.

Points earned for a purchase that is then the subject of a return, refund, returned check due to non-sufficient funds, or other credit issues will be deducted from the Member's account in an amount equal to the Points earned for the original transaction, including any bonus Points. If a return will cause your VIP account to have a negative Point balance, a store credit will be issued on the return regardless of your original form of payment.

6. Points Disputes.

If you believe that a purchase made on your VIP Club account should have resulted in the addition of Points to your Points balance, and such Points are not reflected in the Points balance of your account within forty-five (45) days of the date on which the purchase posted ("Points Dispute"), notify us immediately. We will use reasonable efforts to investigate your Points Dispute so long as You notify us of a dispute within ninety (90) days of the posting date of the purchase. If You do not notify us within the ninety (90)-day period, You will have waived your right to make a Points Dispute with respect to that purchase. In order for us to undertake an investigation of your Points Dispute, we may require You to provide written confirmation of the dispute. If We do not receive the requested written confirmation at the address and within the time requested by us, We may in our sole discretion determine not to investigate your Points Dispute. Upon completion of our investigation of your Points Dispute, we will have no further responsibilities should you later reassert the same Points Dispute.

III. REDEEMING POINTS

Points can be redeemed for products and various coupons.

40 Points: $2 off orders over $50

50 Points: $5 off orders over $80

80 Points: 5% off your order

120 Points: 10% off your order

150 Points: Free Shipping Coupon

(200-400) Points: Free Products

Points can also be redeemed for select products at a specified amount of points

The Member is responsible for sales tax and shipping and handling on all products purchased with redeemed Points.

Points accumulated on different VIP Club accounts may not be combined or aggregated. Points earned in a transaction cannot be redeemed in the same transaction.

IV. GENERAL

We may, in our discretion, change these Terms and Conditions, including, without limitation, the Point conversion ratio and the Point expiration policy, https://www.unicoeye.com/ Conditions of Use or Privacy Policy, or any aspect of Program membership. If any change to these terms is found invalid, void, or for any reason unenforceable, that change is severable and does not affect the validity and enforceability of any remaining changes or conditions. YOUR CONTINUED MEMBERSHIP AFTER WE CHANGE THESE TERMS CONSTITUTES YOUR ACCEPTANCE OF THE CHANGES. IF YOU DO NOT AGREE TO ANY CHANGES, YOU MUST CANCEL YOUR MEMBERSHIP.

A Member's Point balance, as reflected in our records, shall be deemed correct.

We assume no responsibility for errors caused by incorrect Member information.

The sale of Points is prohibited and may result in the confiscation or cancellation of Your Points as well as suspension or termination of Your Membership, which in each case shall be final and conclusive.

We may revoke any Member's membership in the Program at any time if the Member engages in abuse of the Program or fails to follow the terms and conditions of the Program. Fraud or abuse relating to the accrual of Points or redemption of rewards may result in revocation of membership in the Program.

Points are non-transferable and cannot be redeemed for cash.

All taxes on any Points are the responsibility of the Member.

The interpretation and application of the Program's Terms and Conditions are at the sole discretion and determination of https://www.unicoeye.com/.

V. Limitation of Liability

IN ADDITION TO OTHER LIMITATIONS AND EXCLUSIONS IN https://www.unicoeye.com/ CONDITIONS OF USE, IN NO EVENT WILL WE OR OUR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS OR OTHER REPRESENTATIVES BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND, ARISING OUT OF OR RELATED TO THE PROGRAM. OUR TOTAL LIABILITY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, WILL NOT EXCEED THE TOTAL AMOUNT OF THE QUALIFYING PURCHASE THAT IS THE SUBJECT OF THE DISPUTE. THESE EXCLUSIONS AND LIMITATIONS OF LIABILITY WILL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND WILL SURVIVE CANCELLATION OR TERMINATION OF YOUR MEMBERSHIP. THE LIMITATIONS SET FORTH IN THIS SECTION WILL NOT LIMIT OR EXCLUDE LIABILITY FOR BEST BUY'S GROSS NEGLIGENCE, INTENTIONAL, WILLFUL, RECKLESS, OR MALICIOUS MISCONDUCT, OR FRAUD.

VI. Dispute Resolution

We and You each agree that any dispute resolution proceedings of any nature or in any forum will be conducted only on an individual basis and not in a class, consolidated or representative action. This means that You may not purport to act on behalf of a class or any other person. Likewise, an arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

We and You each waive any right to a jury trial, unless such waiver is unenforceable. This means that any claim would be decided by a judge, not a jury.

We and You also both agree that You or We may bring suit in court to seek to enjoin infringement or other misuse of intellectual property rights.

VII. Applicable Law

IN CONSIDERATION FOR PARTICIPATING IN THE PROGRAM, YOU AGREE THAT THE LAWS OF THE STATE OF NEW YORK, WILL GOVERN THESE TERMS AND APPLY TO ANY DISPUTES OR CLAIMS AGAINST US ARISING OUT OF OR RELATING TO YOUR PARTICIPATION IN THE PROGRAM, AND THAT ANY LITIGATION BROUGHT BY YOU RELATING TO THE PROGRAM OR YOUR PARTICIPATION IN THE PROGRAM MUST BE BROUGHT IN THE NEW YORK STATE OR FEDERAL COURTS COVERING NASSAU COUNTY, NY.
